Immediately upon delivery of the Series 2021B <br />Bonds to the Purchaser, the amount received as accrued interest on the Series 2021BBonds shall <br />be credited to the Debt ServiceAccount and the remaining proceeds,net ofthe amount deposited <br />in theReserve Account pursuant to Section 3.02, shall be deposited in the Project Accountand <br />used to pay costs of issuance of the Series 2021BBonds and costs of financing the Project,as <br />provided in Section 13. <br />Section 6.Registration; Appointment of Registrar; Book-Entry System. <br />6.01.Registration. The City, by the Commission, willappoint, and will maintain, a <br />bond registrar, transfer agent, authenticating agent and paying agent (the Registrar). The effect <br />of registration and the rights and duties of the City andthe Registrar with respect thereto areas <br />follows: <br />(a)Register. The Registrar willkeep at its principal corporate trust office a <br />bondregister in which the Registrar providesfor the registration of ownership of the <br />Series 2021BBonds and the registration of transfers and exchanges of Bondsentitled to <br />be registered, transferred or exchanged. <br />(b)Transfer of Series 2021BBonds. Upon surrenderfor transfer of any <br />Series 2021BBond, duly endorsed by the registered owner thereof or accompanied by a <br />written instrument of transfer, in form satisfactory to the Registrar, duly executed by the <br />registered owner thereof or by an attorney duly authorized by the registered owner in <br />writing, the Registrar will authenticate and deliver, in the name ofthe designated <br />transferee or transferees, one or more new Series 2021BBonds of a like aggregate <br />8 <br />EL185-68-707442.v2 <br />394 <br />
