allocation of Abatement Cap to such other abatements is subordinate to the Abatement <br />granted pursuant to this resolution. <br />(c) The Abatement will have a maximum term of fourteen (14) years. <br />(d) In no event shall the total payments of the Abatement to the Developer exceed <br />$362,880 or continue to be paid for more than fourteen (14) years as set forth in the <br />Abatement Agreement. <br />(e) The Abatement is subject to modification in accordance with the Abatement Act, <br />subject to the terms of the Abatement Agreement. <br />(f) In accordance with Section 469.1815 of the Abatement Act, the City will add to <br />its levy in each year during the term of the Abatement the total estimated amount of <br />current year Abatement granted under this resolution. <br />(g) The City makes no warranties or representations regarding the amount or <br />availability of the Abatement. <br />(h) The Property is not located in a tax increment financing district. <br />(i) The City will abate and pay to the Developer the Abatement as provided in the <br />Abatement Agreement, the terms of which, as executed by both parties, are incorporated <br />herein by reference. <br />Section 4. Execution of Documents. The City Council hereby approves the <br />Abatement Agreement in substantially the form on file with the City Administrator, together <br />with any related documents necessary in connection therewith, including without limitation <br />issuance of and any related documents necessary in connection therewith, including without <br />limitation, all documents or certifications referenced in or attached to the Abatement Agreement <br />(collectively, the "Documents") and, the Mayor and City Clerk are hereby authorized and <br />directed to execute the Documents to which the City is a party on behalf of the City and to carry <br />out, on behalf of the City, the City's obligations thereunder. In the event of absence or disability <br />of the officers, any of the Documents authorized by this Resolution to be executed may be <br />executed without further act or authorization of the Council by any duly designated acting <br />official, or by such other officer or officers of the City as, in the opinion of the City Attorney, <br />may act in their behalf. <br />Section 5. Finalizing Documents. The approval hereby given to the Documents <br />includes approval of such additional details therein as may be necessary and appropriate and <br />such modifications thereof, deletions therefrom and additions thereto as may be necessary and <br />appropriate and approved by legal counsel to the City and by the officers authorized herein to <br />execute said Documents prior to their execution; and said officers are hereby authorized to <br />approve said changes on behalf of the City. The execution of any instrument by the appropriate <br />officers of the City herein authorized shall be conclusive evidence of the approval of such <br />Document in accordance with the terms hereof. <br />4 <br />
