<br />EXHIBIT D <br />FACILITY OPERATING PARAMETERS & <br />UTILITY SAVINGS CALCULATION METHODS <br />agree to use the pre-agreed utility savings each guarantee year for the annual guarantee reconciliation subject <br />to adjustment provision set in Exhibit D. <br /> <br />ANNUAL OPERATION & MAINTENANCE COST SAVINGS GUARANTEE <br />The Client shall be guaranteed annual costs savings by the Contractor, a total of $7,448 per year. <br /> <br />The Parties agree to use the Operation & Maintenance savings each year for the annual guarantee reconciliation <br />subject to adjustments provisions set in Exhibit D. <br /> <br />ANNUAL M&V MEETING / RECONCILIATION <br />On an annual basis, on or near the date of Commencement of Energy Savings, there shall be a meeting held to <br />review the savings (energy and operations and maintenance). If the report shows that there is a shortfall in the <br />annual savings (actual vs guaranteed), CONTRACTOR shall write a check to cover the difference to the client. <br />CONTRACTOR reserves the right to, at their own expense, make additional modifications to the client’s facility <br />(with client’s approval) to obtain additional savings in future years. If the report shows an excess of savings <br />(actual vs guaranteed), the excess savings shall be the property of the client and CONTRACTOR shall have no <br />right to any portion of it. Each guarantee year shall stand on its own merit and shall not take into account <br />excess savings in any prior year. <br /> <br />BASELINE ADJUSTMENTS <br />The following adjustments to the established baseline shall be allowed for generation of the energy savings <br />determination. <br /> <br />The hours a facility is occupied and/or equipment and lighting is utilized is a variable which will be adjusted for if <br />the number of hours rises or drops more than 10% from the quantity identified in Exhibit D. Where applicable, <br />energy management systems will be used to monitor and verify hours of equipment operation. Buildings <br />without energy management systems will have equipment operation logged by Client building staff. <br /> <br />The Contractor may use energy modeling to quantify changes from the baseline resulting from changes to: <br /> <br />• Square footage changes <br />• Weather changes <br />• Major remodeling or renovation projects <br />• Quantity or modification of facility equipment <br />• Change in building or central plant usage <br />• Change in process <br />• Change in volume of product being produced or processed <br /> <br />The Client agrees to notify the Contractor of any changes or additions of equipment or environments that may <br />affect the energy consumption associated with the buildings under this Agreement at the Annual Meeting. <br /> <br />UTILITY COST SAVINGS ADJUSTMENT <br />EXHIBIT D Page 2 of 27 <br /> <br />
