EXHIBIT B <br />Form of Escrow and Occupancy Agreement <br />THIS AGREEMENT entered into this 14day of April, 2019, byTim Smith, Trustee of the <br />Cora Smith Trust under trust agreement dated May 14, 2001 and any amendments thereto (the <br />“Trust”) and CRAG Enterprises, LLC, a Minnesota limited liability company (“CRAG”)(together, <br />“Occupants” or “Grantees”), and theHousing and Redevelopment Authority of the City of Elk <br />River, a public body corporate and politic under the laws of the State of Minnesota (“Grantor”) <br />and KENNEDY & GRAVEN, CHARTERED (“Escrow Agent” or “Agent”). <br />BACKGROUND <br />The Trust has, as of the date of this Agreement,sold and conveyed to Grantor the following <br />described tract of land including improvements located thereon: <br />Lot 11 and that part of Lot 12 lying Westerly of the East 4.50 feet of Lot 12, Block 1 of <br />Auditors Subdivision No. 5, according to the recorded platthereof, Sherbune County, <br />Minnesota <br />(the “Property”). <br />CRAG is an occupant of the Property. <br />Although the sale and conveyance of the Property transferred to Grantorthe exclusive title <br />and right to possession, the parties have agreed that Grantor will, subject to the terms and <br />conditions of this Agreement, grant to CRAGthe right to continue to occupy the Property. <br />RECITALS <br />NOW, THEREFORE, in consideration of the mutual covenants and stipulations hereinafter <br />contained, the parties hereto agree as follows: <br />1.Grant of Occupancy. Grantor hereby grants and CRAG hereby acceptthe right to <br />occupy the Property commencing on the date of this Agreement. CRAG shall giveGrantor 30 <br />days’ written notice when it intends to vacate the Property. <br />2.Grantee Acknowledgment. Grantees acknowledgethat this grant of occupancy <br />constitutes the sole and exclusive right of CRAGto occupy the Property from and after the date of <br />thisAgreement, and further acknowledges that absent further written agreement of the parties, <br />Granteesshall have no right to further occupy the Property upon and after the termination of this <br />Agreement. <br />3.Rent.CRAGmay occupy the Property without payment of rent to Grantor. <br />4.No Damage. Grantees agreenot to cause damage to the Property or to any structure <br />or improvement located on the Property and agreeto deliver possession of the Property to the Grantor <br />B-1 <br />
