LICENSE AGREEMENT <br /> THIS LICENSE AGREEMENT ("Agreement") is made this 7th day of October, 2019, <br /> by and between the CITY OF ELK RIVER, MINNESOTA, a Minnesota municipal <br /> corporation ("Licensor") and ELK RIVER LANDFILL, INC., a Minnesota corporation <br /> ("Licensee"). <br /> RECITALS <br /> A. Licensor is the owner of the property described on Exhibit A attached hereto <br /> which is commonly known as the right of way for the Great Northern Trail ("GNT"), and is <br /> located in the City of Elk River, County of Sherburne, State of Minnesota(the "Property"). <br /> B. Licensor and Licensee have concurrently entered into a Utility Installation <br /> Agreement ("Utility Agreement") providing for the installation of an underground Leachate <br /> Conveyance System ("LCS") to pipe leachate under the GNT from Licensee's Landfill to <br /> Licensor's Wastewater Treatment Plant ("WWTP"). <br /> C. Licensor and Licensee have also concurrently entered into a Significant Industries <br /> Industrial Wastewater Treatment Agreement ("SN Agreement") providing for treatment of <br /> Licensee leachate at Licensor's WWTP. <br /> D. Pursuant to the Utility Agreement, Licensor will take ownership of a portion of <br /> the LCS upon its completion and acceptance by Licensor, and Licensee will retain ownership of <br /> the balance of the LCS. <br /> E. The purpose of this Agreement is: <br /> 1. to grant Licensee the right to enter upon the Property for the purposes of <br /> installing the LCS; and <br /> 2. to grant Licensee the right to own, operate and maintain that portion of the <br /> LCS which Licensee will retain ownership of. <br />
