Borrower covenants and agrees to immediately <br />cause the compliance with the following conditions: <br /> <br />(a) Note. Deliver to Lender the Note. <br /> <br />(b) Security Agreement. Deliver to Lender the Security Agreement. <br /> <br />(c) Guaranties. Deliver to Lender the Guaranties. <br /> <br />(d) Mortgage. Deliver to Lender the Mortgage, together with evidence that <br />the Mortgage has been or will be duly filed for record. <br /> <br />(e) Notice and Cure Agreement. Deliver to Lender the Consent and Notice <br />and Cure Agreement, with respect to the First Lien Mortgage. <br /> <br />(f) Title Insurance Policy. Deliver to Lender a Mortgagee’s title insurance <br />policy (“Title Policy”), from Title issued to Lender in the amount of $189,338.20 with <br />respect to the Mortgage and insuring that the Mortgage is a second priority lien on the <br />Loan Property free and clear of mechanic’s liens, materialmen’s liens, taxes, special <br />assessments, rights of parties in possession, other than (i) the First Lien Mortgage and (ii) <br />the rights of tenants as tenants only under existing leases, and questions of title and <br />survey approved in writing by Lender. <br /> <br />(g) Environmental Indemnification Agreement. Deliver to Lender the <br />Environmental Indemnification Agreement, dated as of the date hereof, from the Entity <br />Guarantor to the Lender. <br /> <br />(h) Organizational Documents and Resolutions. Deliver to Lender copies of <br />the (i) articles of organization for Borrower certified by the Minnesota Secretary of State, <br />(ii) certificate of good standing for Borrower issued by the Minnesota Secretary of State; <br />(iii) Borrower’s member control agreement; and (iv) certified resolutions of Borrower <br />authorizing the execution and delivery of this Agreement, the Note, the Mortgage and <br />any other document to be executed by Borrower pursuant to this Agreement. <br /> <br />(i) Organizational Documents and Resolutions. Deliver to Lender copies of <br />the (i) articles of organization for Entity Guarantor certified by the Minnesota Secretary of <br />State, (ii) certificate of good standing for Entity Guarantor issued by the Minnesota <br />Secretary of State; (iii) Entity Guarantor’s member control agreement; and (iv) certified <br />resolutions of Entity Guarantor authorizing the execution and delivery of the Entity <br />Guaranty, the Security Agreement and any other document to be executed by Entity <br />Guarantor pursuant to this Agreement. <br />
