W <br /> WASTE MANAGEMENT <br /> EXHIBIT G <br /> FINAL PAYMENT <br /> GENERAL RELEASE AND INDEMNITY AGREEMENT <br /> AGREEMENT DATE <br /> KNOW ALL MEN BY THESE PRESENT: <br /> That (Contractor), and a corporation, with an office at in consideration of the <br /> payment of $ on Invoice No. representing the final payment under the Agreement dated <br /> between the undersigned and (Owner), covering the design, engineering, procurement, <br /> construction, or performance of services at (or for) , does hereby certify and warrant that it has <br /> been fully paid on account of said Agreement and does further certify and warrant that it has fully paid <br /> and satisfied all claims for work, labor, materials, supplies, equipment, and all other items used or <br /> furnished by the undersigned and its subcontractors and material suppliers in the performance of said <br /> Agreement. The undersigned therefore waives, releases, and discharges Owner, and the real property <br /> on which the undersigned's performance of the Agreement was performed, from and against any and all <br /> claims, liabilities, actions and judgments arising out of any matter related to this Agreement. <br /> The undersigned, in consideration of the final payment being made by Owner pursuant to such <br /> Agreement, does hereby release and forever discharge Owner from any right of lien it may have against <br /> Owner or Owner's Site or property under said Agreement, and the undersigned hereby agrees to defend, <br /> indemnify, and hold harmless Owner and its officers and agents from and against all claims, demands, <br /> and liabilities arising out of labor performed or material and equipment supplied by the undersigned or by <br /> its subcontractors or material vendors or otherwise caused in whole or in part by the undersigned in <br /> connection with the performance of said Agreement. <br /> In addition, the undersigned agrees to reimburse Owner for any excess payments made by it to the <br /> undersigned, which may be discovered as a result of Owner's audit of the aforementioned Agreement. <br /> IN WITNESS WHEREOF, the undersigned has caused this Release and Indemnity to be executed by its <br /> duly authorized officer this day of <br /> By: <br /> (Signature) <br /> (Title) <br /> END OF EXHIBIT G <br /> C; 1 <br /> Jail-l" <br /> Ver. 1.0 <br />
