(c) The Commission shall provide notice, in a timely manner to the Repository and the MSRB, <br /> of the occurrence of any of the following events or conditions: (i) the amendment or supplementing of the <br /> Disclosure Covenants in accordance with the terms of this Certificate, together with a copy of such <br /> amendment or supplement and any explanation provided by the Commission under the Disclosure <br /> Covenants; (ii) the termination of the obligations of the City and/or the Commission under the Disclosure <br /> Covenants in accordance with the terms of this Certificate; (iii)any change in the accounting principles under <br /> the terms of which the Audited Financial Statements of the City or the Commission constituting a portion of <br /> the Disclosure Information are prepared; and (iv) any change in the Fiscal Year of the City or the <br /> Commission. <br /> (d) Unless otherwise required by law and subject to technical and economic feasibility, the <br /> Commission shall employ such methods of information transmission as shall be requested or recommended <br /> by the designated recipients of such information. <br /> (e) The City shall provide notice, in a timely manner to the Repository and the MSRB, of the <br /> occurrence of any of the following events or conditions: (i) any amendment or supplement of the Disclosure <br /> Covenants in accordance with the terms of this Continuing Disclosure Certificate, together with a copy of <br /> su h amendment or supplement and any explanation provided by the City under the Disclosure Covenants; <br /> (ii) the termination of the obligations of the City under the Disclosure Covenants in accordance with the <br /> terms of this Continuing Disclosure Certificate; (iii) any change in the accounting principles under the terms <br /> of which the Audited Financial Statements constituting a portion of the Disclosure Information are prepared; <br /> d(iv)any change in the Fiscal Year of the City. <br /> (f) Unless otherwise required by law and subject to technical and economic feasibility, the City <br /> shall employ such methods of information transmission as shall be requested or recommended by the <br /> designated recipients of the City's information. <br /> Section 6. EMMA. The SEC has designated EMMA as a nationally recognized municipal <br /> se unities information repository and the exclusive portal for complying with the continuing disclosure <br /> reā¢uirements of the Rule. Until the EMMA system is amended or altered by the MSRB and the SEC, the <br /> Clmmission shall make all filings required under this Disclosure Certificate solely with EMMA. <br /> Section 7. Termination of Reporting Obligation. The Commission's obligations under the <br /> Resolutions and this Disclosure Certificate shall terminate upon the redemption in full of all Bonds or <br /> payment in full of all Bonds. <br /> Section 8. Agent. The Commission may, from time to time, appoint or engage a dissemination <br /> a_ent to assist it in carrying out its obligations under the Resolutions and this Disclosure Certificate, and may <br /> discharge any such agent,with or without appointing a successor dissemination agent. <br /> Section 9. Amendment; Waiver. Notwithstanding any other provision of the Resolutions or <br /> t s Disclosure Certificate,the Commission may amend this Disclosure Certificate, and any provision of this <br /> D sclosure Certificate may be waived, if such amendment or waiver is supported by an opinion of nationally <br /> re ognized bond counsel to the effect that such amendment or waiver would not, in and of itself, cause a <br /> vi lation of the Rule. The provisions of the Resolutions requiring continuing disclosure pursuant to the Rule <br /> a d this Disclosure Certificate, or any provision hereof, shall be null and void in the event that the <br /> Commission delivers to the Repository an opinion of nationally recognized bond counsel to the effect that <br /> these portions of the Rule which impose the continuing disclosure requirements of the Resolutions and the <br /> e ecution and delivery of this Disclosure Certificate are invalid,have been repealed retroactively or otherwise <br /> dig not apply to the Bonds. The provisions of the Resolutions requiring continuing disclosure pursuant to the <br /> R le and this Disclosure Certificate may be amended without the consent of the Holders of the Bonds, but <br /> o ply upon the delivery by the Commission to the Repository of the proposed amendment and an opinion of <br /> I1-5 <br /> 50 <br />
