10.13 Attorneys' Fees and Costs. Purchaser and Seller will pay their own attorneys' fees for the <br />transaction contemplated by this Agreement, except as outlined in this agreement for the purchase of the <br />parcels. . <br />10.14 Survival. All of the terms of this Agreement, including, without limitation, the representations <br />and warranties contained herein, shall survive and be enforceable after the Closing and delivery of the <br />deed. <br />10.15 Entire Agreement/Amendment. This Agreement constitutes the entire agreement between the <br />parties with respect to the subject matter herein and fully supersedes all prior written or oral agreements <br />between the parties with respect to such matters. No other agreement, statement or promise made by any <br />party and no amendment, modification or other change of any provision of this Agreement shall be <br />effective unless in writing signed by the parties. <br />10.16 Effective Date. The date that the last party executed this Agreement as evidenced by the dates in <br />the signature block of this Agreement. If either party fails to date this Agreement by its signature, the <br />date by the signature of the other party shall constitute the Effective Date.
