14.8) Not Partnership or Joint Venture- Lessor and Lessee agree that this Lease Agreement <br /> is not intended to be nor shall it be construed as a joint venture or partnership between Lessor and <br /> Lessee, nor a loan from Lessor to Lessee. Nothing contained in this Lease Agreement, or in any <br /> other document or instrument made in connection with this transaction, shall be deemed or construed <br /> to create a partnership, loan, tenancy-in-common, joint tenancy, joint venture, other common <br /> enterprise, or co-ownership by or between Lessor and Lessee. Lessor and Lessee have been <br /> represented by experienced legal counsel who have advised each of the rights and duties of a lessor <br /> and lessee. <br /> 14.9) Binding;Effect- All of the covenants, conditions and agreements herein contained shall <br /> extend to, be binding upon and inure to the benefit of the parties hereto and their respective <br /> successors and assigns. Lessor and Lessee expressly disclaim, on their own behalf and on behalf of <br /> their respective successors and assigns, any intent that a third party, claiming independently or by or <br /> under the Lessor or Lessee, shall benefit from or have any rights whatsoever relating to the provisions <br /> in this Lease Agreement regarding the Mortgagee Agreement or any other or similar agreement that <br /> Lessor and Lessee may hereafter make. <br /> 14.10) Quiet Enjoyment - Lessor represents and warrants that it is the lawful owner of the <br /> Leasehold Property; that it has the full right and power to make this Lease Agreement; that if and so <br /> long as Lessee shall not be in default hereunder, Lessee shall quietly hold, occupy and enjoy the <br /> Leasehold Property during all of the term of this Lease Agreement. <br /> 14.11) Notices - Any notice required or permitted to be given shall be deemed to be given <br /> when mailed by United States registered or certified mail, postage prepaid, properly addressed to the <br /> address provided below. Lessor shall give Lessee a copy of any notice served, delivered or mailed <br /> to Lessor which, in any manner, affects Lessee's interests in the Leasehold Property. Unless and until <br /> changed by notice as herein provided, notices shall be addressed as follows: <br /> To Lessor: City of Elk River <br /> 13065 Orono Parkway <br /> P.O.
