LEASE AGREEMENT <br />THIS LEASE AGREEMENT ("Lease") is made as of , 2016 (the <br />"Commencement Date"), by and between Meritex Elk River, LLC, a Delaware limited liability <br />company ("Landlord") and Sportech, Inc., a Minnesota corporation ("Tenant"). <br />ARTICLE 1 <br />GRANT AND TERM <br />1.1 Grant of Leasehold. Landlord, for and in consideration of the rents herein <br />reserved and the covenants and agreements herein contained on the part of Tenant to be <br />performed, hereby leases and demises to Tenant, and Tenant, for and in consideration of the <br />covenants and agreements contained herein on the part of Landlord to be performed, hereby <br />leases from Landlord, the entirety of that certain parcel of land located in the City of Elk River, <br />Minnesota (the "City") legally described on Exhibit A attached hereto (the "Land"), together <br />with Landlord's interest in (i) all hereditaments, easements and rights appurtenant thereto, (ii) all <br />site work and landscaping installed or constructed upon the Land, and (iii) the building <br />constructed upon the Land (the "Building") containing approximately 105,000 rentable square <br />feet, all of the foregoing being herein collectively defined as the "Premises", all of which is <br />leased to Tenant subject to the encumbrances referred to in Exhibit B attached hereto (the <br />"Permitted Exceptions"). The term Premises includes parking, storage and loading facilities, <br />Landlord's interest in all drives, sidewalks and landscaping and all other improvements on the <br />Land. <br />1.2 Term. The term of this Lease shall be for a period of ten (10) years, commencing <br />on the Commencement Date and ending on the day before the tenth (10th) anniversary of the end <br />of the calendar month in which the Commencement Date occurs (the "Term"), unless the Term <br />shall be sooner terminated in accordance herewith, or unless the Term shall be extended in <br />accordance with Article 25, in which event "Term" shall mean the initial Term of this Lease as <br />extended. The dates upon which the Term shall commence and expire shall be referred to herein <br />as the "Commencement Date" and the "Expiration Date", respectively. If the <br />Commencement Date occurs on a day other than the first day of a calendar month and/or the <br />Expiration Date on a day other than the last day of a calendar month, Tenant shall pay Monthly <br />Rent (as herein defined) at the monthly rate set forth herein (in advance) proportionately for such <br />partial month, as well as Taxes (as hereinafter defined) and any other charges payable <br />proportionately for such partial calendar month. <br />ARTICLE 2 <br />RENT <br />2.1 Rent Amount. Commencing on the Commencement Date and continuing on the <br />first business day of each calendar month during the Term to and including the first business day <br />of the last month of the Term, Tenant shall pay to Landlord monthly base rent in the amounts set <br />forth in the following schedule (the "Monthly Rent"): <br />1 <br />
