• Exhibit B <br /> RESTATED <br /> ARTICLES OF INCORPORATION OF <br /> MINNESOTA COMMUNITY CAPITAL FUND <br /> ARTICLE <br /> NAME <br /> The name of the corporation shall be Minnesota Community Capital Fund. <br /> ARTICLE II <br /> REGISTERED OFFICE <br /> The location of the registered office of the corporation shall be 13911 Ridgedale Drive, <br /> Suite 260, Minneapolis, Minnesota 55305. <br /> ARTICLE III <br /> PURPOSE <br /> . This corporation is organized and shall at all times hereafter be operated exclusively for <br /> charitable purposes under section 501(c)(3) of the Internal Revenue Code. Within the foregoing <br /> limitations, this corporation will combat community deterioration by promoting the development <br /> of housing and business enterprises throughout Minnesota. <br /> The operations of the corporation are intended to provide long term financing and development <br /> services to business and affordable housing enterprises, in order to foster economic <br /> development and job opportunities, with an emphasis on those projects and enterprises owned, <br /> controlled and operated by, and for the benefit of, those who live within the described area, or <br /> are committed to hiring persons affected by poverty or by the deterioration within the described <br /> area. The corporation is also intended: (a) to be eligible for certification as a Community <br /> Development Financial Institution under the criteria specified in 12 CFR Part 1805 of the federal <br /> regulations, (b) to qualify as a Community-Based Development Organization under the criteria <br /> and procedures specified in 24 CFR Part 570.204 of the federal regulations, and (c)to meet the <br /> criteria specified in Section 45D of the Internal Revenue Code as a Qualified Community <br /> Development Entity. To the extent consistent with the foregoing, the corporation may pursue all <br /> other lawful purposes available to the nonprofit corporations organized as such under the laws <br /> of the State of Minnesota. <br /> ARTICLE IV <br /> POWERS <br /> This corporation is organized under and shall have the authority and general powers contained <br /> . in the Minnesota Nonprofit Corporation Act, Minnesota Statutes Chapter 317A, as it now exists <br /> or may hereafter be amended. <br />
