<br />Directors are carried into effect; and shall have such other authority and duties as the Board may <br />determine from time to time. <br /> <br />4.7 Vice Chair. The Vice Chair shall have such powers and shall perform such duties <br />as may be specified by the Board of Directors. In the absence or disability of the Chair of the <br />Board, the Vice Chair shall succeed to the Chair powers and duties until the Chair shall resume <br />his or her duties or until a new Chair is elected by the Board. <br /> <br />4.8 President. The President shall perform the functions of the office of president <br />within the meaning of Minnesota Statutes Section 317 A.305, shall report directly to the Board of <br />Directors, and shall be the Chief Executive Officer of the Corporation. The President may be an <br />employee of the Corporation and may receive such salary as from time to time shall be <br />established by the Board. The President, in the absence of both the Chair and the Vice Chair of <br />the Board, shall preside at all meetings of the Board of Directors; shall see that all orders and <br />resolutions of the Board are carried into effect; shall have general active management of the <br />business of the Corporation; shall appoint members to committees of the Corporation; may <br />execute and deliver in the name of the Corporation any deeds, mortgages, bonds, contracts or <br />other instruments pertaining to the business of the Corporation, except in cases in which the <br />authority to sign and deliver is required by law to be exercised by another person or is expressly <br />delegated by the Board to some other officer or agent of the Corporation; may delegate the <br />authority to execute and deliver documents to other officers of the Corporation; shall maintain <br />records and, whenever necessary, certify any proceedings of the Board; shall perform such other <br />duties as may from time to time be prescribed by the Board; and, in general, shall perform all <br />duties usually incident to the office of president. <br /> <br />4.9 Vice President(s). Any Vice President(s) shall have such powers and shall <br />perform such duties as the Board of Directors may from time to time designate. <br /> <br />4.10 Treasurer. The Treasurer may be an employee of the Corporation and may <br />receive such salary as from time to time shall be established by the Board, and shall be the Chief <br />Financial Officer of the Corporation. The Treasurer shall keep or cause to be kept accurate <br />financial records for the Corporation; shall deposit or cause to be deposited all money, drafts, <br />and checks in the name of and to the credit of the Corporation in the banks and depositories <br />designated by the Board of Directors; shall endorse for deposit or cause to be endorsed all notes, <br />checks, and drafts received by the Corporation, as ordered by the Board, making proper vouchers <br />therefor; shall disburse or cause to be disbursed corporate funds and issue checks and drafts in <br />the name of the Corporation, as ordered by the Board; shall render to the President and the <br />Board, whenever requested, an account of all transactions by the Treasurer and of the financial <br />condition of the Corporation; shall perform such other duties as may from time to time be <br />prescribed by the President or the Board; and, in general, shall perform all duties usually incident <br />to the office of treasurer. <br /> <br />4.11 Secretary. The Secretary shall serve as secretary of and shall attend and record <br />the proceedings of all meetings of the Board of Directors; shall maintain to date and have <br />custody of the permanent minute book and records of the Corporation; shall have custody of and <br />affix the corporate seal, if any, where appropriate; shall attest to and certify any corporate <br />
