NORTHSTAR YMCA COMMUNITY BOARD MINUTES FOR MEETING OF FEBRUARY 5, 2004 MEMBERS ATTENDiNG: Pat Klaers, Ed Stoutenburg, Bill Helliwell, Ron Touchette, Stephanie Klinzing, Tom McKinney NW YMCA, Nick Haidos, Deb Hunter, Joni Lawrence, Stewart Wilson, Mary Eberley Chair Helliwell called meeting to order at 7:15 AM. Agenda & Minutes for meeting of January 8, 2004 were approved. COMMITTEE REPORTS: 1) Program Committee - Ken Ebel was not able to attend & the committee has not met since last month. 2) Communications Committee - Ed Stoutenberg reported that their committee did not meet. They will, however, be placing a banner sign on the Kemper Drug building wall. It will promote YMCA activities and membership. Final content has not yet been determined. Joni L. is completing the sign work, and is also looking for a second sign site in Elk River. Coborn's is unable to permit the sign at their site. Highway 169 site is desirable. Committee needs clarification on spelling of"NorthStar" - it was agreed that the name would be displayed & used as: NorthStar YMCA. 3) Finance Committee: - Nick Haidos reported we have about $700 in our fund. He is developing an Expense Report to be submitted for committee member reimbursements. 4) Chair/Director Report - T. McKinney reported the Boys & Girls Club is interested in a parmership this summer with regard to camp drop-off site & supervision. The club would be paid, and would also possibly be permitted to send kids to Camp Manitou for an afternoon of swimming and other activities. Members had some concerns about adequate supervision; Tom noted this concern and stated the Y does require supervision, ID prior to pick-up, etc. He will address specifically with Duane Howard of the Club, and also in the Agreement. 4) NW YMCA Board meetings - Bill Helliwell & Ron Touchette attended the January meeting. Tom M. talked about a new parmership with Health Parmers to promote healthy life styles and exercise. Tom M. then discussed the current NorthStar committee structure, the proposed structure & its benefits. The new structure would include current Program, Public Relations & Financial Development/Y-Partners Committees, as well as special task forces or project groups on an "as needed" basis. The new structure also adds an Executive Committee, which would meet regularly, facilitate planning, decision-making, set goals, and will also establish the guidelines for operation of the organization. The proposed membership would include the four previously mentioned committee chairs, the overall Chair (Bill H.), Tom M. & a member-at-large. Since there is no facility work to be done immediately, this committee will not be included in the Executive Committee at this time. Tom provided a brief outline of responsibilities/duties for the Executive Committee. RonT. stressed the need to get firm commitment from people for committee participation, work to be done, etc. A level of expectation should be set for membership and participation. The relationship with NW Y group was again discussed. The NorthStar Y is, and eventually will be, a separate formal entity - the NW Y will act as "mentor", offer assistance for start-up, and models for guidelines and methods that are already in place and working. M. Eberley made a Motion to adopt the proposed organizational structure as presented by Tom M, including the establishment of Executive Committee consisting of up to 7 members; the development of "job descriptions" or expectations and responsibilities for board and committee membership and
