28 .2) Release of Landlord - If Landlord sells or otherwise <br /> transfers all of its interest in the Premises, Landlord shall, <br /> without further action by any party, be released and discharged <br /> from any further obligation or duty under the Lease, and no claim <br /> or demand upon Landlord shall thereafter be made by Tenant <br /> arising out of any obligation or duty of Landlord hereunder. <br /> Upon request by Landlord, Tenant shall execute an attornment <br /> agreement with Landlord' s transferee in form satisfactory to such <br /> transferee. <br /> 28 . 3) Severability - If any term, condition, or provision of <br /> the Lease or the application thereof to any person or <br /> circumstance shall, to any extent, be held to be invalid or <br /> unenforceable, the remainder thereof and the application of such <br /> terms, provisions, and conditions to persons or circumstances <br /> other than those as to whom it shall be held invalid or <br /> unenforceable shall not be affected thereby, and the Lease and <br /> all the terms, provisions, and conditions hereof shall, in all <br /> other respects, continue to be effective and to be complied with <br /> to the full extent permitted by law. <br /> 28 . 4) Short Form Lease - At the request of either party <br /> hereto, a short form lease shall be prepared in form and <br /> substance reasonably satisfactory to each of the parties and <br /> shall be executed by each of the parties in duplicate, such lease <br /> to be filed for record in Sherburne County, Minnesota. <br /> 28 .5} Headings - The headings incorporated in the Lease are <br /> for convenience in reference only and are not a part of the Lease <br /> and do not in any way limit or add to the terms and provisions <br /> hereof. <br /> 28 . 6) Binding Effect - All of the covenants, conditions, and <br /> agreements herein contained shall extend to, be binding upon, and <br /> inure to the benefit of the parties hereto and their respective <br /> heirs, successors, and assigns. <br /> IN WITNESS WHEREOF, the parties have executed this Lease the <br /> day and year first above written. <br /> LANDLORD: <br /> CITY OF ELK RIVER <br /> `L . <br /> By: , <br /> l <br /> By: <br /> Its : <br /> 19 . <br />
