THE TRUST FOR PUBLIC LAND <br /> STANDING RESOLUTION OF THE BOARD OF DIRECTORS <br /> TPL CONFLICT OF INTEREST POLICY <br /> (and related policies) <br /> January 20,2005 <br /> RESOLVED,that the Board of Directors of The Trust for Public Land hereby adopts the <br /> following policies and procedures relating to conflicts of interest and transactions involving <br /> interested parties: <br /> Conflicts of Interest <br /> A conflict of interest may exist.when the interests or concerns of an Interested Party(as that term <br /> is described below)maybe-seen as competing with the interests or concerns of The Trust for <br /> Public Land. <br /> Neither TPL nor an Interested Party shall engage in conduct which the Conflict Review <br /> Committee (described below),the Executive Committee, or the Board of Directors considers to <br /> be an unacceptable conflict of interest. <br /> Parties Covered by this Policy <br /> The following individuals and organizations ("Interested Party or Interested Parties") are covered <br /> by this policy, and will be so notified as appropriate, if and when their activities present a <br /> possible conflict of interest: <br /> Staff Members. All current employees of the Trust for Public Land and consultants and <br /> independent contractors providing services to TPL, and their Immediate Family, as well as <br /> Affiliated Entities of the staff members, consultants and contractors and their Immediate Family. <br /> Board of Directors. All members of the Board of Directors and their Immediate Family, as well <br /> as Affiliated Entities of the Board members and their Immediate Family. <br /> Advisory Board Members. All members of official TPL volunteer advisory boards, including <br /> but not limited to the National Leadership Council and other national,regional, state and local <br /> advisory boards; and their Immediate Family, as well as Affiliated Entities of the advisory board <br /> members and their Immediate Family. <br /> TPL Conflict of Interest Policy 1-20-05 1 <br />
