STATE OF MINNESOTA <br /> GRANT AGREEMENT <br /> Outdoor Heritage Fund <br /> This grant agreement is between the State of Minnesota, acting through its Commissioner of Natural Resources ("State") <br /> and The Trust for Public Land,2610 University Avenue, Suite 300, St. Paul,MN 5514 ("Grantee"). <br /> Recitals <br /> 1. Under Minn.Laws 2011, Ist Special Session, Chapter 6,Article 1, Section 2, Subd. 5(d)Metro Big Rivers Habitat- <br /> Phase II,$2,900,000 are from the fund to the commissioner of natural resources for agreements to acquire interests in <br /> land in fee or permanent conservation easements and to restore and enhance natural systems associated with the <br /> Mississippi,Minnesota, and St. Croix Rivers and as provided in Minnesota Statutes,section 84.026. <br /> 2, The State awards to the Grantee for the purpose of conducting the program entitled Metro Big Rivers Habitat Phase 2 <br /> in the manner described in the Grantee's approved Accomplishment Plan. <br /> 3. The Grantee represents that it is duly qualified and agrees to perform all services described in this grant agreement to <br /> the satisfaction of the State. <br /> Grant Agreement <br /> 1 Term of Grant Agreement <br /> 1.1 Effective date: July 1,2011 <br /> No reimbursements will be made until or upon the date that the final required signature is obtained by the <br /> State, pursuant to Minnesota Statutes Section 16C.05, subdivision 2. <br /> 1.2 Expiration date: rune 30, 2016, or four years after acquisition,whichever is later, in order to complete <br /> restoration or enhancement work(if applicable). <br /> 1.3 Survival of Ternis. The following clauses survive the expiration or cancellation of this grant agreement: 10 <br /> Liability; I I State Audits; 12 Government Data Practices and Intellectual Property; 14 Acknowledgment and <br /> Endorsement;. I5 Governing Law,Jurisdiction,and Venue; 17 Data Disclosure;20 Monitoring; and 24 Program <br /> Requirements. <br /> 1.4 Incur Expenses. Notwithstanding Minnesota Statutes,section 16A.41, expenditures made on or after July 1, <br /> 2011,are eligible for reimbursement unless otherwise provided in Attachment F, subd. 10. <br /> 2 Grantee's Duties <br /> The Grantee,who is not a state employee,will: <br /> See Attachment A,approved accomplishment plan,which is incorporated and made a part of this agreement. If <br /> applicable,the Grantee shall provide the State's authorized representative a copy of the revised accomplishment plan <br /> and the corresponding LSOHC approval letter within one week of any LSOHC approved changes to the <br /> accomplishment plan. <br /> The Grantee agrees to complete the program in accordance with the approved budget to the extent practicable and <br /> within the program period specified in the grant agreement. Any material change in the grant agreement shall require <br /> an amendment by the State(see Section 8.2). <br /> The Grantee shall be responsible for the administration,supervision,management,record keeping and program <br /> oversight required for the work performed under this agreement. <br /> The Grantee is responsible for maintaining an adequate conflict of interest policy. The grantee shall monitor and <br /> report any actual or perceived conflicts of interest,or attest that no conflict of interest issues exist;this shall be <br /> submitted to the State's authorized representative. <br /> 3 Time <br /> The Grantee must comply with all the time requirements described in this grant agreement. <br /> Grant (Rev:8111) 3 <br />
