9. Payments <br /> (a) The HRA shall pay the Contractor in full after the work is satisfactory completed unless <br /> prior arrangements have been made for progress payments. Progress payments shall be <br /> limited to two, and shall be subject to ten percent(10%) retainage until final satisfactory <br /> completion. Final payment of the Contract amount will be made only after final <br /> inspection by CMHP and acceptance by the Owner of all work performed by the <br /> Contractor. <br /> (b) The Contractor agrees to pay any subcontractor within ten days of the Contractor's <br /> receipt of payment from the HRA for undisputed services provided by the subcontractor. <br /> The Contractor must pay interest of 1-1/2 % per month for any part of a month to the <br /> subcontractor on any undisputed amounts not paid on time to subcontractor. The <br /> minimum monthly interest penalty payment for an unpaid balance of$100 or more is <br /> $10. For an unpaid balance of less than $100, the Contractor shall pay the actual penalty <br /> due to the subcontractor. A subcontractor who prevails in a civil action to collect interest <br /> penalties from the Contractor must be awarded its costs and disbursements, including <br /> attorney's fees, incurred in bringing the action. <br /> 10. Warranty As to Workmanship and Materials <br /> The Contractor shall remedy any defect due to faulty material or workmanship and pay the <br /> Owner for any damage to other work resulting therefrom that appears within the period of <br /> one year of final payment. Further, Contractor will furnish Owner with all manufacturer's and <br /> supplier's written guarantees and warranties covering materials and equipment furnished <br /> under this Contract. <br /> This warrant) does not cover defects caused by or related to: <br /> (a) Abuse, misuse, negligence or accident by parties other than the Contractor any <br /> Contractor's subcontractors; or <br /> (b) Normal deterioration due to wear or exposure. <br /> 11. Debris and Materials <br /> The Contractor agrees that during the course of work the Premises shall be kept as clean and <br /> orderly as is reasonable under the circumstances and shall remove all debris from the <br /> Premises that results from the Contract work until completion of this Contract. All materials <br /> and equipment that are replaced or removed in the course of work shall become the property <br /> of the Contractor unless otherwise specified. <br /> 12. Access to Records <br /> The Owner and CMHP shall have full access to all records relating to work performed under <br /> this Contract. Any and all data received, collected, stored, created, used, maintained, or <br /> disseminated by the Contractor shall be administered in accordance with the requirements of <br /> Minn. Stat. Ch. 13. The Contractor does not have a duty to provide access to public data <br /> when the same is available from the Owner, HRA or CMHP. <br />
