CONTRACTOR— HOME OWNER CONTRACT <br /> ELK RIVER, MINNESOTA <br /> WHEREAS, the Contractor has submitted a bid ("Bid ') to Central Minnesota Housing <br /> Partnership, a Minnesota non-profit ("CMHP") and the administrator of the Owner-Occupied Housing <br /> Rehabilitation Loan Program, a program of the Housing & Redevelopment Authority in and for the City <br /> of Elk River, Minnesota, a public body, corporate and politic under the laws of the State of Minnesota <br /> ("HRA"), for work to be performed in connection with that Program, on the premises located at <br /> Elk River, Minnesota("Premises") and owned by ("Owner"); and <br /> WHEREAS, Owner desires to hire Contractor to perform the work as specified in the <br /> Contractor's Bid at the Premises; and <br /> WHEREAS, the Contractor desires to perform the work set forth in its Bid at the Premises. <br /> NOW, THEREFORE, in consideration of the acceptance of the Bid by the Owner, the Contractor <br /> and Owner agree as follows: <br /> GENERAL CONDITIONS <br /> 1. Hold Harmless <br /> Contractor shall defend, indemnify, and hold harmless the Owner, and HRA and CMHP, <br /> from all liability, loss, expenses, and claims for damages, including attorneys' fees, made by <br /> anyone in connection with Contractor's performance of obligations under this contract. <br /> 2. Independent Contractor <br /> For the purpose of this Contract,the Contractor shall be deemed to be an independent <br /> contractor, and not an employee of Owner, HRA, or CMHP. Any and all employees of the <br /> Contractor or other persons, while engaged in the performance of any work or services <br /> required to be performed under this Contract, shall not be considered employees of Owner, <br /> HRA, or CHMP and any and all claims that may or might arise on behalf of said employees <br /> or other persons as a consequence of any act or omission on the part of said employees or the <br /> Contractor shall in no way be the obligation or responsibility of Owner, HRA, or CMHP. <br /> 3. Insurance <br /> Before commencing work on the Premises, the Contractor shall submit certificates of <br /> insurance to the Owner and CHMP for approval by the Owner and CMHP and shall be <br /> endorsed to provide that the policies will not be canceled or changed until ten days after <br /> written notice of change or cancellation has been delivered to Owner and CMHP. The <br /> Contractor's certificates must show that at least the following insurance is in force: <br /> Class of Coverage Bodily Injury Property Damage <br /> (1) Manufacturer's & Contractors $1,500.000 $1,500,000 <br /> (2) Product Incl. Compl. Operations $1,500,000 $1,500,000 <br /> (3) Auto Owned, Hired or Leased $1,500,000 $1,500,000 <br /> (4) Worker's Compensation As required by law <br />
