( ) The amendment to or termination of this Agency <br /> Agreement, as provided in sections 9 (L) and 3 ( M) of this Agency <br /> Agreement . <br /> ( 7) The adoption and amendment of the Bylaws , as provided in <br /> Section 9 (L ) of this Agency Agreement, <br /> (8 ) The election , removal and compensation of Directors , as <br /> provided in Section 9 ( E) of this Agency Agreement. <br /> Each of the matters set forth above shall require the <br /> approval of the majority of the votes cast by the Representatives <br /> in accordance with the weighted voting formula described in <br /> Section 9 (c) hereof , except as to those matters for which rather <br /> provisions of this Agency Agreement require a greater percentage , <br /> or which specify that in substitution thereof or in addition <br /> thereto , such matters shall be decided by the Representatives Each <br /> casting one vote. <br /> The Board of Directors and the Representatives shall take any <br /> and required under any contract or <br /> all action which may be <br /> agreernznt to which the Municipal Power Agency is bound , including <br /> any bond resolution , trust indenture or similar financing <br /> agreement ; but nothing contained in this section shall be <br /> construed to mean that any Member or Representive is liable for <br /> ta <br /> any of the obligations of the Municipal Power Agency . <br /> Except as otherwise expressly povided f the <br /> this <br /> Agency Agreement , each action at any meeting of <br /> Representatives shall be taken by a majority of the votes cast on <br /> the question by the Representatives present , each exercising a <br /> number of votes allocated to the Member he or she represents as <br /> follow*s (referred to herein as a "weighted vote") : <br /> (1 ) one vote ; plus <br /> ( 2) one additional vote for each full 5 , 000 megawatt hours <br /> of electric energy purchased from the Agency by the member during <br /> such Member ' s most recent fiscal year ; plus <br /> ( 3 ) if the votes allocated to ant= Member pursuant to clay ses <br /> (1 } , and ( Z) would equal or exceed -the total number of votes <br /> catEd to all other Members , its allocation of VotcS shall othb <br /> a} 1(} less than those allocated to all <br /> r <br /> reduced to one vote <br /> Members . <br /> The allocation of votes to each member shall be made in <br /> accordance with the formula Outlined above as soon as practicable <br /> after the beginning of each the Municipal E allocation b sea shall <br /> made by the secretary Of P al Pok� Agency <br /> cer��ificate of the Commission or Representative. of the Member , and <br /> t such allocation shall be verified by the Board of Directors .
