LICENSE AGREEMENT
<br /> I. PARTIES
<br /> 52 This Agreement is made on this 2,;F day of
<br /> 199P- by and between the following parties ("Parties") : The
<br /> City of Elk_ Raver, on their own behalf and on behalf of all
<br /> of their heirs, relatives, executors, insurers, sureties,
<br /> successors, assigns, employees, and agents ("Owners") , and
<br /> Elk River Landfill, Inc. , on its own behalf and on behalf of
<br /> all its insurers, sureties, successors, assigns,
<br /> shareholders, officers, directors, employees and agents.
<br /> ("Licensee") .
<br /> II. RECITALS
<br /> WHEREAS, Licensee is conducting response actions,
<br /> including a remedial investigation of release and/or
<br /> threatened releases of hazardous substances, pollutants, or
<br /> contaminants at and from the Elk River Sanitary Landfill
<br /> located in the City of Elk River, County of Sherburne, State
<br /> of Minnesota, and legally described as Section 3 , Township
<br /> 33, Range 26 ("Landfill") ;
<br /> WHEREAS, Owners are the legal and equitable Owners of
<br /> certain real property, located in the City of Elk River,
<br /> County of Sherburne, State of Minnesota, adjacent to the
<br /> Landfill, and legally described as:

<br /> WHEREAS, the Parties wish to enter into this Agreement
<br /> to permit Licensee to enter the Property for reasonable and
<br /> necessary response actions, including a remedial
<br /> investigation, to address any release or threatened release
<br /> of hazardous substances, pollutants, or contaminants at or
<br /> from the Landfill, pursuant to the authority of the
<br /> Minnesota Pollution Control Agency ("MPCA") under Chapter
<br /> 115B of the Minnesota Statutes.
<br /> III. PROVISIONS
<br /> WHEREFORE, for the consideration set forth herein, and
<br /> for other good and valuable consideration, the receipt of
<br /> sufficiency of which is hereby acknowledged, the Parties
<br /> agree as follows:
<br /> 1. Lessee agrees to pay within ,�D days of receipt of
<br /> the fully executed original of this A eement, and Owners
<br /> agree to accept, the amount of = as full
<br /> compensation for the rights acquired under this Agreement.
<br /> 2 . Owners hereby grant Licensee an irrevocable
<br /> license to enter the Property and to take certain actions
<br /> necessary to investigate, monitor, test, analyze, and
<br /> evaluate any release or threatened release of hazardous
