Section 22. Applicable Law 22.1. This Contract shall be construed in accordance with and governed by the laws of the state of Minnesota. Section 23. Amendment 23.1. This Contract may be modified or amended only with the written approval of the HRA and the Contractor. Section 24. Construction 24.1. In the event that any one or more of the provisions of this Contract, or any application thereof, is found to be invalid, illegal, or otherwise unenforceable, the validity, legality, and enforceability of the remaining provisions or any application of the provisions shall not in any way be affected or impaired thereby. Section 25. Authority 25.1. Each of the undersigned parties warrants that it has the full authority to execute this Contract, and each individual signing this Contract on behalf of a corporation hereby warrants that he or she has full authority to sign on behalf of the corporation and that he or she represents and binds the corporation. Section 26. Waiver 26.1. No failure by the HRA to insist upon the strict performance of any covenant, duty, agreement, or condition contained in this Agreement or to exercise any right or remedy consequent upon a breach thereof shall constitute a waiver of any such breach or any other covenant, agreement, term, or condition, nor does it imply that such covenant, agreement, term, or condition may be waived again. Section 27. Payments to the Contractor and Completion 27.1. The Contractor shall be paid upon completion of the Work in accordance with the payment schedule of the HRA, if any, and this section. 27.2. Application for Pam. Prior to receiving payment for Substantial Completion of the Work, the Contractor shall in writing state that the respective portion of the Work has been substantially completed. Upon Substantial Completion and inspection and verification by the H12A, the payment for that portion of the Work shall be made. Final payment shall be made when the Contractor certifies that Final Completion has been achieved and Final Completion has been verified by the H1ZA. 11
