Transmission Owner Services and Asset Assignment Agreement <br />If, following the Effective Date, (i) CMMPA and the Participant enter into a <br />CMMPA-Participant Transmission Project Agreement for a new CMMPA- <br />Owned Transmission Project, and (ii) consistent with the terms set forth in such <br />CMMPA-Participant Transmission Project Agreement, CMMPA proposes to add <br />the new CMMPA-Owned Transmission Project to Exhibit A, CMMPA shall give <br />the Participant not less than 60 days' prior written notice, and such addition shall <br />become effective concurrently with the effective date of the applicable CMMPA- <br />Participant Transmission Project Agreement. <br />(b) Improvements, Additions, Upgrades, or Modifications to, or Replacements or <br />Retirements of, CMMPA-Owned Transmission Projects <br />(i) CMMPA shall be responsible for determining whether improvements, <br />additions, upgrades, or modifications to, or replacements or retirements of, <br />CMMPA-Owned Transmission Projects are appropriate, taking into <br />consideration the applicable terms of the Upstream Project Agreements, <br />the CMMPA-Participant Transmission Project Agreements, and the <br />MISO-Related Documents. <br />(ii) CMMPA shall keep the Participant informed of any improvements, <br />additions, upgrades, or modifications to, or replacements or retirements of <br />CMMPA-Owned Transmission Projects with respect to which the <br />Participant has capacity rights or other participation interests. <br />(iii) CMMPA shall have the right, in its sole discretion and upon 60 days' prior . <br />written notice to the Participant, to modify the list of CMMPA-Owned <br />Transmission Projects set forth in Exhibit A to reflect improvements, <br />additions, upgrades, or modifications to, or replacements or retirements of, <br />CMMPA-Owned Transmission Projects. <br />(iv) For the avoidance of doubt, (A) nothing in paragraph (b) of this Section <br />205 is intended to modify or conflict with the provisions of any Upstream <br />Project Agreement, any CMMPA-Participant Transmission Project <br />Agreement, or the MISO-Related Documents governing determinations, <br />actions, or obligations of either CMMPA or the Participant with respect to <br />improvements, additions, upgrades, or modifications to, or replacements <br />or retirements of, CMMPA-Owned Transmission Projects; and (B) no <br />amendment to Exhibit A of a Transmission Asset Assignment Agreement <br />between CMMPA and another Participant shall affect the rights and <br />obligations of the Participant under this Agreement. <br />(c) Withdrawal of CMMPA-Owned Transmission Protects from the MISO. <br />(i) CMMPA shall be responsible for determining whether withdrawal of one <br />or more CMMPA-Owned Transmission Projects from the operational <br />control of the MISO is appropriate, taking into consideration the <br />applicable terms of the CMMPA-Participant Transmission Project <br />Agreements and the MISO-Related Documents. <br />(ii) If CMMPA proposes to withdraw one or more CMMPA-Owned <br />Transmission Projects from the operational control of the MISO, CMMPA • <br />12 <br />
