Transmission Owner Services and Asset Assignment Agreement <br />The Services Administration Committee shall: <br />(i) serve in a general capacity as liaison with CMMPA staff and the CMMPA <br />Board of Directors on behalf of the Participants by which the <br />representatives are appointed; <br />(ii) in conjunction with the Annual Budget process as set forth in Section 601 <br />of this Agreement, conduct an annual review of the allocation of costs and <br />Revenues under this Agreement, and inform the CMMPA Board of <br />Directors of the results of such review and matters for further <br />consideration, if any, identified by Participants or the Services <br />Administration Committee; <br />(iii) provide consultation and recommendations as contemplated by <br />Sections 205(c), 405, 502, and 601, and vote on approval of amendments <br />to Attachments 2 as contemplated by Section 901(6); <br />(iv) meet as necessary to carry out its responsibilities under this Agreement; <br />and <br />(v) not duplicate the functions and activities of the coordinating committees <br />under CMMPA-Participant Transmission Project Agreements. <br />(c) Governance of Services Administration Committee. <br />(i) The Services Administration Committee shall elect a chairperson, who <br />shall serve as liaison to the CMMPA Board of Directors. <br />(ii) A meeting of the Services Administration Committee may be called by the <br />chairperson or at the request of at least two representatives. <br />(iii) Each Participant representative on the Services Administration Committee <br />shall have one vote in matters submitted to a Services Administration <br />Committee vote. <br />(iv) The affirmative votes of over 50% of the Participant representatives on the <br />Services Administration Committee shall be required for the Services <br />Administration Committee to take action. <br />(d) Authority of Services Administration Committee. <br />Except as specifically provided in Section 901(6) with respect to approval of <br />amendments to Attachment 2 to this Agreement, no vote, recommendation, or <br />other action of the Services Administration Committee shall be binding on <br />CMMPA or the CMMPA Board of Directors. <br />Section 404. Participant Records; Information to Be Provided by CMMPA and <br />Participant. <br />(a) The Participant shall keep accurate records and accounts pertaining to its <br />Municipal Electric System, including the Participant-Owned Transmission <br />Facilities, in a manner that supports the Participant's obligations under this <br />Agreement to provide CMMPA with information needed for the preparation of <br />26 <br />
