Transmission Owner Services and Asset Assignment Agreement <br />(v) five years' written notice by CMMPA to the Participant or by the <br />Participant to CMMPA requesting termination of this Agreement with <br />respect to the Participant-Owned Transmission Facilities. <br />(b) Any termination of this Agreement with respect to Participant-Owned <br />Transmission Facilities shall be consistent with CMMPA's rights, duties and <br />obligations as a Transmission Owner under the MISO-Related Documents and the <br />Funds Trust Agreement and shall be subject to the Participant's payment and <br />satisfaction of all costs, obligations, and liabilities incurred by CMMPA, through <br />the effective date of termination, in connection CMMPA's provision of <br />Transmission Owner Services with respect to Participant-Owned Transmission <br />Facilities. <br />(c) If, as of the effective date of termination of this Agreement with respect to <br />Participant-Owned Transmission Facilities, CMMPA is not providing <br />Transmission Owner Services with respect to any CMMPA-Owned Transmission <br />Projects, then termination of this Agreement with respect to Participant-Owned <br />Transmission Facilities shall terminate this Agreement in its entirety. <br />ARTICLE 4 <br />CMMPA PROVISION OF TRANSMISSION OWNER SERVICES; CERTAIN <br />RIGHTS AND OBLIGATIONS APPLICABLE TO ALL FACILITIES <br />Section 401. CMMPA Service Obligations Related to CMMPA-Owned <br />Transmission Projects and Participant-Owned Transmission Facilities. <br />With respect to all CMMPA-Owned Transmission Projects and all Participant-Owned <br />Transmission Facilities subject to this Agreement, CMMPA shall provide the services <br />described below in this Section 401 and such other services as the CMMPA Board of <br />Directors, in its sole discretion, may determine are necessary or appropriate to effectuate <br />the purposes of this Agreement, which, together, shall be the "Transmission Owner <br />Services." Transmission Owner Services shall include: <br />(a) fulfillment of obligations applicable to CMMPA as a Transmission Owner in <br />accordance with the MISO-Related Documents and the Funds Trust Agreement, <br />including but not limited to: <br />(i) CMMPA development and submittal of MISO-Required Information; <br />(ii) preparation and submittal of FERC filings, including, as applicable: <br />(A) new formula rate proposals or changes to a component of the formula <br />rate that affect only the transmission revenue requirement associated with <br />CMMPA-Owned Transmission Projects and Participant-Owned <br />Transmission Facilities and no other Transmission Owner's transmission <br />revenue requirements; (B) incentive or performance based rate filings; and <br />(C) the recovery of costs under Schedule 1 or a successor or replacement <br />schedule(s) and other ancillary services offered to customers under the <br />MISO TEMT; <br />(iii) participation in transmission planning and related committee activities <br />conducted by the MISO or other regional transmission planning processes; <br />23 <br />
