Transmission Owner Services and Asset Assignment Agreement <br />Services, the Participant shall provide not less than 60 days' prior written <br />notice to CMMPA as provided this Section 308. <br />(ii) CMMPA shall request authorization from the CMMPA Board of Directors <br />to provide Transmission Owner Services with respect to any newly <br />acquired or constructed Participant-Owned Transmission Facilities, and <br />shall provide such Transmission Owner Services in accordance with this <br />Agreement if authorized by the CMMPA Board of Directors and <br />consistent with all applicable requirements of the MISO TEMT, and the <br />CMMPA MISO Transmission Owner Agreement, the MISO regional <br />transmission planning process, and any other regional transmission <br />planning processes in which the MISO or its members are required to <br />participate. <br />(b) Improvements, Additions, Upgrades, or Modifications to, or Replacements or <br />Retirements of, any Participant-Owned Transmission Facilities. <br />(i) In addition to complying with its obligations under Section 306 of this <br />Agreement, the Participant shall be responsible for determining whether <br />any other improvements, additions, upgrades, or modifications to, or <br />replacements or retirements of Participant-Owned Transmission Facilities <br />are appropriate, taking into consideration the requirements applicable to <br />such actions pursuant to this Agreement, including, without limitation, all <br />applicable requirements of the MISO TEMT, the CMMPA MISO <br />Transmission Owner Agreement, the MISO regional transmission <br />planning process, and another other regional transmission planning <br />processes in which the MISO or its members are required to participate. <br />(ii) The Participant shall keep CMMPA informed of any new acquisition or <br />construction of, improvements, additions, upgrades, or modifications to, or <br />replacements or retirements of Participant-Owned Transmission Facilities. <br />(iii) If the Participant undertakes to improve, make additions to, or upgrade, <br />modify, retire, or replace any of the Participant-Owned Transmission <br />Facilities, the Participant shall provide not less than 60 days' prior written <br />notice to CMMPA as provided in this Section 308. <br />(c) Withdrawal of Participant-Owned Transmission Facilities from the <br />Operational Control of the MISO. <br />If the Participant wishes to withdraw one or more of its Participant-Owned <br />Transmission Facilities from the operational control of the MISO, the Participant <br />shall provide CMMPA with not less than five years' written notice (unless <br />CMMPA agrees to a shorter period consistent with the applicable terms of the <br />MISO-Related Documents). <br />(d) CMMPA Actions to Obtain Necessary Approvals. <br />CMMPA shall seek any required regulatory or MISO approvals necessary for any <br />change in Exhibit B requested by the Participant in accordance with this <br />Section 308, including any approvals required pursuant to the MISO-Related <br />Documents. <br />21 <br />
