Transmission Owner Services and Asset Assignment Agreement <br />Section 303. Termination and Replacement of Transmission Facilities Assignment <br />Agreement. <br />As of the date established in accordance with Section 302, any Transmission Facilities <br />Assignment Agreement in effect between CMMPA and the Participant shall terminate <br />and be superseded by this Agreement; provided, however, that if there are obligations or <br />liabilities of either party under any Transmission Facilities Assignment Agreement that <br />have not been fully performed or satisfied as of the date such Transmission Facilities <br />Assignment Agreement is superseded by this Agreement, such obligations or liabilities <br />shall remain in effect and become obligations and liabilities under this Agreement. <br />Section 304. Assignment of Rights Related to Participant-Owned Transmission <br />Facilities. <br />(a) The Participant hereby agrees to and confirms the continuation of the transfer and <br />conveyance of operational control of and capacity rights with respect to the <br />Participant-Owned Transmission Facilities as initially effectuated pursuant to the <br />Transmission Facilities Assignment Agreement. Such transfer and conveyance <br />shall continue in effect from the date established in accordance with Section 302 <br />until this Agreement is terminated in accordance with Section 309. <br />(b) The Participant acknowledges and agrees that the transfer and conveyance of <br />operational control of and capacity rights with respect to the Participant-Owned <br />Transmission Facilities is intended to facilitate CMMPA's continued conveyance <br />of operational control of and capacity rights with respect to the Participant-Owned <br />Transmission Facilities to the MISO pursuant to the CMMPA MISO <br />Transmission Owner Agreement and CMMPA's receipt of Revenues in <br />connection with the Participant-Owned Transmission Facilities. The scope of <br />such transfer and conveyance shall be sufficient to, among other things, <br />(i) permit the MISO to: <br />(A) provide non-discriminatory open access transmission service over <br />the Participant-Owned Transmission Facilities; <br />(B) receive funds associated with transmission services from <br />transmission customers and distribute such funds to CMMPA or its <br />designee; <br />(C) be responsible for regional system reliability; <br />(D) provide energy mazket and ancillary services pursuant to the MISO <br />TEMT; and <br />(ii) otherwise permit CMMPA to fulfill all of its obligations as a Transmission <br />Owner with respect to Participant-Owned Transmission Facilities in <br />accordance with the MISO-Related Documents. <br />(c) In addition to the Participant's transfer and conveyance of operational control of <br />and capacity rights with respect to the Participant-Owned Transmission Facilities <br />pursuant to paragraphs (a) and (b) of this Section 304, the Participant hereby <br />grants to CMMPA the following non-exclusive rights, which CMMPA may <br />further grant to other Persons: <br />(i) access to its Participant-Owned Transmission Facilities; <br />16 <br />
