the Works and the Documents to the State. The Grantee must, at the request of <br />the State, execute all papers and perform all other acts necessary to transfer or <br />record the State's ownership interest in the Works and Documents. <br />11. LIABILITY <br />The Grantee must indemnify, save, and hold the State, its agent, and employees <br />harmless from any claims or causes of action, including attorney's fees incurred by the <br />State, arising from the performance of this grant contract by the Grantee or the <br />Grantee's agents or employees. This clause will not be construed to bar ant legal <br />remedies the Grantee may have for the State's failure to fulfill its obligations under this <br />grant contract. <br />12. CONVERSION OF USE <br />The Recipient shall not at any time convert any property acquired or developed <br />pursuant to this Agreement to uses other than those specified in this Agreement without <br />the prior written approval of the State, until a period of twenty years from the time the <br />designated Funds are no longer available for the Project, has expired. <br />13. TERM <br />13.1 EFFECTIVE DATE <br />Costs may be incurred for this agreement upon approval of the Environmental <br />Analysis documentation or April 22, 2011, whichever is later, although no <br />reimbursements will be made until this Agreement is fully executed. This <br />Agreement shall become legally effective upon such date as it is executed by the <br />State Agency. <br />13.2 EXPIRATION DATE <br />The agreement shall remain in effect until June 30, 2012, or until all obligations <br />have been satisfactorily fulfilled, whichever occurs first. <br />13.3 TERMINATION <br />If the State finds that there has been a failure on the part of the Recipient to <br />comply with the provisions of this Agreement, that reasonable progress has not <br />been made, or that the purposes for which the funds were awarded have not been <br />or will not be fulfilled, the State may take action to protect the interests of the <br />State including, but not limited to, the refusal to disburse additional funds and <br />requiring the return of all or part of the funds previously disbursed. <br />13.4AMENDMENTS <br />Any amendment to this grant contract must be in writing and will not be effective <br />until it has been executed and approved by the .same parties who executed and <br />6-Cooperative Trail Program <br />
